Terms of Service
1. Agreement & Acceptance of Terms
These Terms of Service ("Terms") govern the licensing, integration, and operational usage of the real-time voice orchestration software, application programming interfaces (APIs), and clinical voice systems developed by CVO Labs. By utilizing our technology, institutional clients, developers, and healthcare networks ("Client") agree to adhere to these Terms.
Usage of CVO Labs software is subject to the execution of a formal Business Associate Agreement (BAA) and a custom Enterprise Service Agreement (ESA).
2. Intended Clinical Use & Disclaimer
Our Clinical Voice System is architected to assist and streamline medical workflows:
- Clinical Decision Support: CVO Labs voice agents function strictly as administrative decision-support assistants. They are designed to collect, transcribe, and structure conversational information to assist licensed clinicians.
- No Autonomous Diagnosis: Our systems do not provide autonomous clinical judgments, make official diagnoses, or prescribe treatments. All synthesized clinical summaries, billing codes, or intakes generated by the system must be reviewed, verified, and signed off by a licensed medical practitioner.
- Not for Emergency Services: Our technology is not designed, validated, or licensed to handle emergency patient triage or high-urgency medical crises. If a patient indicates a medical emergency during a voice interaction, the system is hard-coded to automatically routing the session to human emergency dispatch.
3. Software Licensing & API Boundaries
CVO Labs grants the Client a non-exclusive, non-transferable, revocable, and limited license to access and integrate our voice gateway APIs. Clients agree not to:
- Attempt to intercept, record, or reverse-engineer the underlying streaming acoustics models or neural architectures.
- Utilize CVO Labs APIs to synthesize, deep-fake, or replicate voices for non-clinical or unauthorized applications.
- Bypass the Verifiable Inference Layer or disable telemetry reporting required for active regulatory auditing.
4. Service Level Commitments & Infrastructure
We recognize that clinical systems require mission-critical stability:
- Uptime Target: We target a 99.9% operational availability SLA for our SIP/VoIP telephony gateway and core transcription API, excluding scheduled maintenance.
- Scheduled Maintenance: Maintenance windows are coordinated with institutional administrators and executed off-peak (typically weekends between 02:00 and 04:00 UTC) with at least 48 hours of advance notification.
- Redundancy & Failover: Telephony gateways utilize multi-carrier SIP trunk routing with real-time automated fallback to guarantee line availability during localized telco outages.
5. Regulatory Alignment
CVO Labs software is designed and maintained in alignment with the FDA guidelines for Medical Device Data Systems (MDDS) and Software as a Medical Device (SaMD) structures. Clients are responsible for ensuring that their deployment parameters and clinician sign-off interfaces comply with local state licensing boards, HIPAA regulations, and national healthcare compliance frameworks.
